BOAST PRESS END USER LICENSE AGREEMENT (EULA)

This End User License Agreement (“EULA”) is a legal agreement between you (the “End User”) and SaaS Experts, Inc. (“the Company”), which owns and operates the Boast Press brand (and website at https://boast.press). The Company develops and sells WordPress plugins and related products under the Boast Press brand (collectively, the “Software”). By installing, using, or otherwise accessing any Boast Press product, you acknowledge that you have read, understood, and agree to be bound by the terms of this EULA. If you do not agree with these terms, you should not install or use any Boast Press product.

1. DEFINITIONS AND SCOPE

1.1 “End User” (“you”): Means the individual or entity installing, using, or otherwise accessing the Software.

1.2 “Boast Press” (or the “Boast Press brand”): Refers to all WordPress plugins, extensions, modules, or related products developed, sold, or distributed by SaaS Experts, Inc.

1.3 “Software”: Collectively includes any code, functionality, documentation, and other materials provided under the Boast Press brand, whether offered for free or under a commercial license.

1.4 “GPL Components”: Those portions of the Software that are derivative of or based on WordPress code, or otherwise subject to the GNU General Public License (GPL) requirements.

1.5 “Premium Components”: Proprietary parts of the Software not governed by the GPL. These may include, but are not limited to, proprietary libraries, add-ons, or features offered exclusively under the Boast Press commercial license.

1.6 “License” (or “Commercial License”): The authorization granted by the Company to the End User to use the Premium Components of the Software on one or more sites as specified.

1.7 “Support”: Assistance provided by the Company (via email or help desk) for installing, configuring, or troubleshooting issues specifically related to Boast Press.

1.8 “Updates”: Any patches, bug fixes, enhancements, or improvements to the Software provided by the Company. Updates may include new features, security patches, or performance optimizations.

1.9 Scope: This EULA governs all Boast Press products offered by SaaS Experts, Inc., whether provided for free or purchased under a commercial license. References to “Boast Press” in this document include any and all plugins, extensions, or modules distributed under the Boast Press brand.

2. COMPANY IDENTITY

2.1 SaaS Experts, Inc.: The sole owner and distributor of the Boast Press brand and its associated Software. All rights, title, and interest in the Boast Press brand remain the property of SaaS Experts, Inc.

3. LICENSE GRANT AND PERMITTED USE

3.1 Commercial License for a Single Plugin: Each Boast Press product (plugin) that is sold under a commercial license is licensed separately. When you purchase a commercial license for a specific Boast Press plugin, you are granted the right to install and use that plugin’s Premium Components on a single WordPress site/domain (the “Single-Site License”). If you wish to use the same plugin on multiple sites, you must purchase additional licenses.

3.2 License Key Activation: After purchasing a commercial license for any Boast Press plugin, you will receive a unique license key for that plugin. You must enter the license key into the Software to activate the Premium Components and enable updates for that specific plugin. A valid, active license key is required to receive official support and updates.

3.3 Free Version: When available, each Boast Press plugin may offer a free version with core (GPL) functionality. You are encouraged to evaluate the free version of that particular plugin to ensure compatibility and suitability prior to purchasing a commercial license.

4. LICENSE TRANSFERS AND DOMAIN CHANGES

4.1 Moving a License: You may transfer your License from one domain to another using our license manager. The License can only be active on one domain at a time. If you switch domains, you must deactivate the License on the old domain before activating it on the new one.

4.2 Non-Transferable to Third Parties: You may not resell, share, or otherwise distribute your license key to anyone outside your organization. Unauthorized distribution or sharing of license keys is a violation of this EULA and will result in immediate termination of your License without a refund.

5. UPDATES AND SUPPORT

5.1 One-Year Coverage: A commercial License purchase includes free updates and email support for one year from the date of purchase. After one year, you can renew your License at a discount (see Section 6) for continued updates and support.

5.2 Automatic Updates: With an active License, the Software will receive automatic updates through your WordPress dashboard or via manual download from your Boast Press account. Updates may include new features, improvements, and bug fixes.

5.3 Support Services: During your active support period, you will have access to email or help desk support for issues specifically related to Boast Press. Support does not cover custom development or compatibility problems caused by third-party themes, plugins, or hosting environments beyond our control.

6. RENEWALS AND UPGRADE POLICY

6.1 Optional Annual Renewal: Boast Press Licenses are one-time purchases, but continued access to updates and support requires a manual renewal each year. This is not an automatically recurring subscription.

6.2 Renewal Discount: If you renew your License within one year after it expires, you receive a 50% discount on the renewal cost. Renewals extend your access to support and updates for an additional year.

6.3 Full Price After Lapse: If you do not renew within one year of License expiration, you must purchase a new License at full price to regain access to updates and support.

7. REFUND POLICY

7.1 Fully Functional Free Version: Because Boast Press offers a free GPL version for evaluation, the Company does not provide refunds on premium Licenses once purchased. You are expected to verify compatibility and functionality through the free version prior to buying a commercial License.

7.2 No Refunds: All sales are final, and no refunds will be granted once the premium license key is issued. SaaS Experts, Inc. does not offer refunds for License purchases, upgrades, or renewals.

8. GPL COMPONENTS AND PREMIUM COMPONENTS

8.1 GPL Components: The Software may include GPL Components, which are governed by the terms of the GNU General Public License (GPL), version 2 or later, as published by the Free Software Foundation. You may modify and redistribute these GPL Components in accordance with the GPL.

8.2 Premium Components: Certain parts of the Software, such as proprietary libraries, premium features, and add-ons, are considered “Premium Components” and are licensed to you under this EULA, not the GPL. You do not have the right to copy, modify, or distribute the Premium Components except as expressly permitted by this EULA.

8.3 Compliance: If you redistribute or modify the GPL Components, you must comply with the GPL’s terms. Nothing in this EULA is intended to limit your rights under the GPL for those GPL Components. However, Premium Components remain subject to the restrictions outlined in this EULA, and you may not remove license protections, share, or otherwise distribute those proprietary code portions without the Company’s explicit permission.

9. WARRANTY DISCLAIMER

9.1 Provided “As Is”: The Software (including both GPL Components and Premium Components) is provided “as is,” without warranty of any kind. The Company makes no warranties, express or implied, including but not limited to implied warranties of merchantability, fitness for a particular purpose, or non-infringement.

9.2 No Guarantee of Results: We do not warrant that Boast Press will be error-free, uninterrupted, or compatible with every possible hosting environment or third-party component. You assume full responsibility for any outcomes or results from using the Software.

10. LIMITATION OF LIABILITY

10.1 No Liability for Damages: In no event shall SaaS Experts, Inc. be liable for any indirect, incidental, special, or consequential damages (including but not limited to loss of profits, data, or goodwill) arising from the use or inability to use the Software.

10.2 Cap on Direct Damages: The total liability of the Company, whether in contract, tort, or otherwise, shall not exceed the price paid for the License. Some jurisdictions do not allow certain liability exclusions; in such cases, our liability is limited to the fullest extent permitted by law.

11. INDEMNIFICATION

11.1 Your Responsibility: You agree to indemnify, defend, and hold harmless SaaS Experts, Inc. and its affiliates against any claims, liabilities, damages, losses, or expenses (including legal fees) arising from your use of Boast Press, your violation of this EULA, or infringement by you of any intellectual property or other right of any person or entity.

11.2 Company’s Defense Rights: We reserve the right to assume the exclusive defense of any claim otherwise subject to indemnification by you, and you agree to cooperate with us in asserting any available defenses.

12. INTELLECTUAL PROPERTY AND RESTRICTIONS

12.1 Ownership: All Boast Press products (including but not limited to plugins, source code, and related materials) are the intellectual property of SaaS Experts, Inc., except where otherwise noted for GPL Components. Purchasing a commercial License does not grant ownership of the Software.

12.2 Prohibited Actions: You shall not modify, reverse engineer, decompile, or disassemble the Premium Components of the Software except to the extent permitted by applicable law. Any attempt to circumvent license validation or distribute Premium Components without authorization is a breach of this EULA.

13. TERMINATION

13.1 By You: You may terminate this EULA at any time by removing the Software from your site and destroying any copies in your possession. No refunds will be issued in the event of termination.

13.2 By Company: We may terminate this EULA if you breach any of its terms. Upon termination, your license key may be deactivated, and you must cease using the Premium Components immediately. No refunds will be given in such cases.

14. GENERAL PROVISIONS

14.1 Governing Law: This EULA is governed by the laws of the State of North Carolina, United States, without regard to its conflict of law provisions.

14.2 Severability: If any provision of this EULA is found unenforceable, it will not affect the validity of the remaining provisions.

14.3 Changes to Terms: The Company reserves the right to modify this EULA at any time, and such modifications will be effective upon posting on https://boast.press or otherwise notifying you. Continued use of the Software constitutes acceptance of the modified terms.

14.4 Entire Agreement: This EULA, together with the terms of any purchase order or invoice, constitutes the entire agreement between you and SaaS Experts, Inc. regarding Boast Press and supersedes any prior agreements.

15. PRIVACY

15.1 Limited Data Collection: Boast Press may collect minimal information necessary to verify license validity (such as domain name, license key usage, or plugin version). We do not collect or store sensitive personal data from your site’s visitors. For details on how we handle data, please refer to our Privacy Policy (if available) or contact us at [email protected].

15.2 Compliance: By using the Software, you agree to comply with all applicable privacy laws and regulations when handling any personal data on your site. You acknowledge that the Company is not responsible for your website’s compliance with such laws, including GDPR or other regional regulations.

16. DISPUTE RESOLUTION

16.1 Informal Resolution: In the event of any dispute or claim arising out of or relating to this EULA, the parties shall first attempt to resolve the issue informally by contacting the other party.

16.2 Governing Law and Venue: If informal resolution is not successful, any dispute shall be governed by the laws specified in Section 14.1. You agree to submit to the exclusive jurisdiction of the courts located in that jurisdiction for the resolution of any legal action.

16.3 Injunctive Relief: Nothing in this EULA shall prevent either party from seeking injunctive or other equitable relief in any competent court to prevent irreparable harm.

17. END OF LIFE AND TRANSFER OF OWNERSHIP

17.1 End of Life: The Company may, at its sole discretion, discontinue updates or support for any Boast Press product (“End of Life”). In such cases, you may continue to use the last version made available, but you understand that no further updates, bug fixes, or support will be provided.

17.2 Company Acquisition or Closure: In the event the Company is acquired, merged, or ceases operation, any ongoing support or update obligations may be transferred to a successor entity or discontinued entirely, at the discretion of the new owner or applicable legal processes. We do not guarantee continued access to updates or support in such circumstances.

17.3 Ownership Transfer: If ownership of the Boast Press brand or specific Software changes, the new owner may continue to offer the Software under the same or modified terms, or may discontinue it. This EULA will remain in effect unless superseded by a new agreement provided by the new owner.

By installing or using any Boast Press product, you acknowledge that you have read and agree to the terms of this End User License Agreement.
